Terms of Service

These Terms of Service (“Terms”) govern your use of Ceendesis Accounting, operated by Ceendesis Ltd (“Ceendesis”, “we”, “us”). By creating an account you agree to these Terms.

1. The service

Ceendesis Accounting is bookkeeping software for online sellers. With your authorisation, it reads your own settlement and payout data from the sales channels you connect (Amazon, Shopify, eBay, Walmart, TikTok Shop, Square, WooCommerce) and posts reconciled invoices and journals into your own accounting software (Xero, QuickBooks Online). The data and the books are yours; Ceendesis acts on your instructions to keep them accurate.

Where a connected platform’s API or developer terms designate an application that accesses a seller’s data as a “service provider” or data processor acting on the seller’s behalf, you appoint Ceendesis as your service provider for that purpose. We access your platform data solely to provide the bookkeeping services you have requested, process it only on your instructions, and do not sell, lease, or transfer it to any third party.

The service is provided on an as-is basis. We do not provide accounting, tax, or financial advice. You are responsible for reviewing all postings, verifying tax rates, and ensuring your books comply with applicable laws.

2. Your account

You must provide accurate information when registering. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at support@ceendesis.com if you suspect unauthorised access.

Each account is associated with a single organisation. Multiple users may access one organisation under a single subscription. You may not share your credentials with third parties outside your organisation.

3. Acceptable use

You agree not to:

  • Use the service to process data for organisations other than your own without explicit permission.
  • Attempt to gain unauthorised access to any part of the service or its underlying infrastructure.
  • Use the service for any unlawful purpose or to facilitate fraud.
  • Reverse-engineer, decompile, or otherwise attempt to extract the source code of the service.
  • Overload our infrastructure with automated requests beyond normal use.

4. Billing and payment

Subscription fees are billed monthly or annually as agreed at the time of purchase. Fees are non-refundable except where required by law. We reserve the right to change pricing with 30 days' written notice.

If payment fails and remains unpaid for 14 days, we may suspend your access until payment is received. We will not delete your data during a suspension period of up to 60 days.

5. Data and intellectual property

Your data remains yours. We process it only to deliver the service. You grant us a limited licence to process your data for this purpose.

The service, including all software, designs, and documentation, is the intellectual property of Ceendesis Ltd. These Terms do not grant you any intellectual property rights in the service.

Data processing (processor terms). Where we process personal data relating to your customers or store visitors — for example, order data retrieved from your connected sales platforms — you are the controller and we are your processor. In that capacity we will:

  • process that data only on your documented instructions and only to provide the service (producing and posting your accounting records), and never sell it or use it for advertising;
  • ensure personnel authorised to process it are bound by confidentiality;
  • apply appropriate technical and organisational security measures (encryption in transit and at rest, as described in our Privacy Policy);
  • engage sub-processors only under written terms imposing equivalent obligations (our current sub-processors are listed in the Privacy Policy) and remain responsible for them;
  • assist you, taking into account the nature of processing, with data-subject requests and your security and breach-notification obligations;
  • delete or return that data on termination of the service, subject to retention required by law; and
  • make available the information reasonably necessary to demonstrate compliance with these terms.

This section forms the data processing agreement between you and us for such data. For data obtained through Shopify, we also comply with Shopify's Protected Customer Data requirements.

6. Liability

To the maximum extent permitted by law, Ceendesis is not liable for any indirect, incidental, special, or consequential damages, including lost profits, arising from your use of the service.

Our total cumulative liability for any claims arising under these Terms is limited to the fees you paid to us in the three months preceding the claim.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

7. Termination

You may close your account at any time by emailing support@ceendesis.com. We will delete your data within 30 days of account closure, subject to any legal retention obligations described in our Privacy Policy.

We may terminate or suspend your account if you breach these Terms, with or without notice depending on the severity of the breach.

8. Changes to these Terms

We may update these Terms. We will notify you by email at least 14 days before material changes take effect. Continued use of the service after that date constitutes acceptance.

9. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
